About Tyco International

Tyco International was a security systems and fire protection systems company founded in the Republic of Ireland, with headquarters in Princeton, New Jersey, United States. Tyco was originally formed as an investment and holding company named Tyco Inc. with two segments: Tyco Semiconductors and The Materials Research Laboratory. In 1962, the company refocused on high-tech materials science and energy conservation products, and two years later went public and strengthened its development and distribution network by acquiring Mule Battery Products. Mule would be the first of Tyco’s sixteen acquisitions in the next four years.

Throughout the 1970s, Tyco acquired Simplex Technology, Armin Plastics, the Ludlow Corporation, and Grinnell Fire Protection Systems, and by 1974 was listed on the New York Stock Exchange. Tyco spent the next decade reorganizing its subsidiaries, and dividing itself into three segments, Fire Protection, Electronics, and Packaging. Tyco then returned to acquisitions by purchasing the rest of Grinnell Corporation, the Mueller Company, and Allied Tube and Conduit. Tyco reorganized its subsidiaries again, into Electrical and Electronic Components, Healthcare and Specialty Products, Fire and Security Services, and Flow Control.

Tyco would continue its aggressive acquisition strategy throughout the 1990s, eventually acquiring over 3,000 other companies between 1991 and 2001, including Wormald International Limited, Neotecha, Classic Medical, Promeon, Kendall International Co., Unistrut, Professional Medical Products Inc., Thorn Security, Sempell, American Pipe and Tube, Keystone Automotive, Sherwood Davis and Geck, Wells Fargo Alarm, Raychem, Temasa, and Central Sprinkler, among many others. To reflect Tyco’s global presence, the company changed its name from Tyco Laboratories to Tyco International, and in 1996 was added to the S&P 500 Composite Index. In 1997, Tyco merged via reverse takeover with a smaller publicly traded security services company, ADT Limited. Tyco International of Massachusetts became a subsidiary of ADT Limited, while ADT changed its name to Tyco International Ltd.

Tyco continued to acquire companies in the early 2000s, purchasing General Surgical Innovations, Siemens Electromechanical Components, Praegitzer, AFC Cable, and later Mallinckrodt Inc, SImplex Time Recorder Company, Century Tube Corp, Water & Power Technologies, Transpower Technologies, and LINQ Industrial Fabrics Inc among its various subdivisions.

In 2002 however, Tyco began to struggle: a plan to split the business into four separate companies fell through, and the economic recession of 2001 followed by overcapacity of fiber-optic cable led to heavy financial losses. Several subsidiaries were divested, such as Surgical Dynamics Inc, but losses continued to mount and stock prices continued to fall. Additionally, a scandal involving Tyco’s CEO and his senior management team forced a major restructuring in the company’s upper management.

The mid-2000s were a period of divestiture and refocusing for Tyco, as the company let go of 21 businesses and liquidated four non-core businesses primarily within the Fire and Security segment. Electronics and Healthcare and Specialty Products also saw divestitures. 2007 saw the largest shakeup of the company, as Tyco separated into three different publicly independent companies. Tyco Healthcare became Coidien Ltd,. Tyco Electronics became TE Connectivity, and Tyco Fire and Security and Engineered Products and Services became Tyco International Ltd. Tyco International would go on to be composed of five major segments: ADT Worldwide, Fire Protection Services, Flow Control, Safety Products, and Electrical and Metal Products.

Tyco would go on to separate itself again in October 2012 into three companies: Tyco, focused on fire protection and electronic security systems, installation, and services worldwide, the ADT Corporation in North America, which focuses on residential and small business security installation and services, and Flow Control, which focused on water and fluid solutions, valves and controls, and equipment protection products worldwide.

In 2016, it was announced that Tyco would merge with Johnson Controls, an American company that produced electronics and HVAC equipment for buildings. The merger was completed on September 9, 2016, with Tyco officially ceasing operations and Johnson Controls being renamed to Johnson Controls International plc.
